Terms of Service

These terms apply when you use this website or buy services from Prosphor AI ("we," "us"). By booking or paying for a service, you agree to them. A signed proposal or statement of work for a specific project takes priority over these terms where the two differ.
Services and pricing
Services and prices are described on our Services page or in a written quote. Prices may change, but the price you agreed to at booking or in your quote applies to that engagement.
Payment
Strategy Sessions and Systems Audits are paid at booking. Builds and larger projects are billed according to the written quote, which may include a deposit. Invoices are due on receipt unless the quote says otherwise.
Credits
A Strategy Session fee is credited toward a build booked within 30 days of the session. A Systems Audit fee is credited toward a build booked within 60 days of the audit.
Rescheduling and cancellations
You can reschedule a session for free up to 24 hours before it starts. For other cancellations or refund requests, contact us and we'll work it out fairly.
90-Day Systems Sprint
If the systems agreed in the written scope aren't live within 90 days of kickoff, your deposit is refunded. This depends on you providing timely access, information and feedback, and doesn't apply to delays caused by scope changes you request.
Retainers
Retainers are billed at the start of each month and run month to month. Each plan includes the hours listed on the Services page; unused hours don't roll over to the next month. Work beyond a plan's included hours is billed at $150 per hour. You can cancel anytime, even the same day, by email. Service continues through the end of the month you've already paid for, and a month that has already started isn't refunded.
Offboarding and backups
We set up work in your accounts, in your name, with us added as a user. When an engagement ends, we deliver a handoff package to a shared folder in your own Google Drive or Dropbox: plain-English summaries of each automation, a list of the accounts involved and where they're managed (never passwords), short walkthrough videos and exported workflows. We keep an encrypted backup copy of the project for up to 2 years at no charge so work can resume if you return, and we'll delete it sooner on request.
Your responsibilities
You agree to provide the access, information and feedback needed to do the work, and you confirm you have the right to give us access to the systems and data involved.
Ownership
Once you've paid in full, you own the automations and deliverables we build specifically for you, along with your accounts and data. We may reuse our general know-how, tools and templates in other work.
Third-party tools
Our work often relies on third-party software and services. We aren't responsible for their availability, changes or pricing.
No guarantee of results
We'll do the work professionally and with care. Apart from anything stated in writing, we don't guarantee specific business results, savings or revenue.
Limitation of liability
To the extent permitted by law, our total liability for any claim relating to our services is limited to the amount you paid us for the service giving rise to the claim, and we aren't liable for indirect or consequential damages, such as lost profits or lost data.
Governing law
These terms are governed by the laws of the State of Nevada.
Changes
We may update these terms from time to time. The version in effect when you book applies to that engagement.
